Terms and Conditions

By downloading or using ShadowingKit (the “App”), you agree to be bound by these Terms and Conditions. Please read them carefully before using the App.
1. Acceptance of Terms
By accessing and using ShadowingKit, you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use the App.
2. Description of Service
ShadowingKit is a language learning application that helps users improve Spanish pronunciation through the shadowing technique. The App provides:
- Access to curated Spanish audio content with synchronized text
- User-generated content creation capabilities (recording, importing audio/video files)
- Progress tracking and favorites management
- Premium subscription features for enhanced content access
3. Account Registration
To use certain features of the App, you must create an account using Sign in with Apple. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
4. Subscription Plans and Pricing
4.1 Free Access
The App offers free access to:
- 20 curated Spanish episodes
- Basic content creation features
- Progress tracking and favorites
4.2 Premium Subscription
Premium subscription unlocks:
- Access to 100+ curated Spanish episodes
- Unlimited content creation with speech recognition
- All future premium content updates
Subscription Options:
- Monthly Plan: $14.99 per month
- Annual Plan: $99.99 per year
4.3 Free Trial
New subscribers are eligible for a 7-day free trial of Premium subscription. You will not be charged during the trial period. After the trial ends, your subscription will automatically renew at the regular subscription price unless you cancel before the trial period expires.
Important: Free trials are only available once per user. If you have previously subscribed or used a free trial, you will not be eligible for another trial.
4.4 Payment and Renewal
- All payments are processed through your Apple ID account and are subject to Apple’s Terms of Service
- Payment will be charged to your Apple ID account at confirmation of purchase
- Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current subscription period
- Your account will be charged for renewal within 24 hours prior to the end of the current subscription period
- The renewal cost will be the same as the original subscription price unless we notify you of a price change in advance
4.5 Managing and Canceling Subscriptions
- You can manage your subscription and turn off auto-renewal through your Apple ID Account Settings
- To cancel your subscription, go to Settings > [Your Name] > Subscriptions on your iOS device and select ShadowingKit
- Cancellation takes effect at the end of the current billing period
- You will retain access to premium features until the end of your current billing period
- No refunds will be provided for the unused portion of any subscription period
4.6 Price Changes
We reserve the right to change subscription prices at any time. Price changes will not affect existing subscribers until their next renewal period. We will provide advance notice of any price changes.
4.7 Refunds
All sales are final. Refund requests are handled by Apple according to their refund policies. To request a refund:
- Go to reportaproblem.apple.com
- Sign in with your Apple ID
- Select “Request a Refund”
- Follow the instructions
We do not have access to Apple’s payment system and cannot process refunds directly.
5. User-Generated Content
5.1 Content Ownership
You retain all ownership rights to content you create, record, or upload to the App (“User Content”). By creating User Content, you grant us a limited license to:
- Store your content on our servers
- Process your content to provide transcription and speech recognition features
- Display your content back to you within the App
5.2 Content Responsibilities
You are solely responsible for your User Content and warrant that:
- You own or have the necessary rights to all User Content you upload
- Your User Content does not violate any third-party rights (including intellectual property rights)
- Your User Content does not contain illegal, harmful, or offensive material
- You will not upload copyrighted audio or video content without proper authorization
5.3 Content Storage and Deletion
- User Content is stored on secure cloud storage (AWS S3)
- You can delete your User Content at any time through the App
- When you delete your account, all associated User Content will be permanently deleted
- We reserve the right to remove User Content that violates these Terms
6. Intellectual Property Rights
The App and its original content (excluding User Content), features, and functionality are owned by Jeans Ruiz and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not:
- Copy, modify, or create derivative works of the App
- Reverse engineer, decompile, or attempt to extract the source code
- Remove or alter any copyright, trademark, or other proprietary notices
- Use the App for any commercial purpose without our written consent
7. Internet Connection Requirements
Certain App features require an active internet connection (Wi-Fi or cellular data):
- Content synchronization and cloud storage
- Speech recognition and transcription services
- Subscription verification and management
- Content downloads
You are responsible for any data charges from your mobile carrier. We are not responsible for the App’s inability to function due to lack of internet connectivity.
8. Third-Party Services
The App integrates with third-party services to provide functionality:
- Apple App Store: Payment processing and subscription management
- RevenueCat: Subscription infrastructure and management
- Supabase: Backend services, authentication, and database
- AWS S3: Cloud storage for user-generated content
- Amplitude & Firebase: Analytics and crash reporting
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of these third-party services.
9. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we handle your data.
10. Prohibited Uses
You agree not to use the App:
- In any way that violates applicable laws or regulations
- To transmit any harmful, threatening, abusive, or offensive content
- To impersonate any person or entity
- To interfere with or disrupt the App’s operation or servers
- To attempt unauthorized access to any part of the App
- To upload viruses, malware, or any malicious code
- To harvest or collect information about other users
- For any automated use (bots, scrapers, etc.) without written permission
11. Disclaimers and Limitations of Liability
11.1 Service “As Is”
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 No Guarantee of Results
While we strive to provide high-quality language learning content, we make no guarantees regarding:
- Specific learning outcomes or language proficiency improvements
- Accuracy or completeness of content
- Uninterrupted or error-free service
- The correction of all defects or bugs
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JEANS RUIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your access to or use of (or inability to access or use) the App
- Any conduct or content of any third party on the App
- Any content obtained from the App
- Unauthorized access, use, or alteration of your content
11.4 Device Security
You are responsible for maintaining the security of your device. We recommend:
- Keeping your iOS device updated with the latest security patches
- Not jailbreaking your device, as this may compromise security and App functionality
- Using strong device passcodes and enabling device encryption
12. App Updates and Modifications
- The App requires iOS 18 or later
- We may release updates to improve functionality, fix bugs, or add features
- Some updates may be required to continue using the App
- We reserve the right to modify, suspend, or discontinue any feature at any time without notice
- We do not guarantee that the App will always be compatible with your device’s iOS version
13. Termination
13.1 Termination by You
You may stop using the App and delete your account at any time through the App’s settings. Upon account deletion:
- Your active subscription will remain valid until the end of the current billing period
- All your User Content will be permanently deleted
- You will lose access to all premium features after the subscription period ends
13.2 Termination by Us
We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for:
- Violation of these Terms and Conditions
- Fraudulent, abusive, or illegal activity
- Extended periods of inactivity
- Any reason at our sole discretion
13.3 Effect of Termination
Upon termination:
- All licenses and rights granted to you will immediately cease
- You must stop using the App and delete it from your device
- Sections that by their nature should survive termination will remain in effect
14. Geographic Restrictions
The App is available worldwide through the Apple App Store, subject to Apple’s geographic restrictions. The App content is currently available in Spanish and English. Access to certain features may vary by region.
15. Age Restrictions
The App is intended for users 18 years of age and older only. The App is rated 18+ in the Apple App Store.
If you are under 18 years of age, you are not permitted to use the App. We do not knowingly collect personal information from users under 18. If we discover that we have collected information from a user under 18, we will delete it immediately.
If you are a parent or guardian and believe your child under 18 has used the App or provided personal information to us, please contact us immediately at shadowifyapp@gmail.com, and we will delete such information and terminate the account.
16. Changes to Terms and Conditions
We may update these Terms and Conditions from time to time to reflect:
- Changes in our practices or services
- Legal, regulatory, or security requirements
- Improvements to clarity or transparency
When we make changes:
- We will update the “Last Updated” date at the top of this page
- For material changes, we will provide notice through the App or via email
- Your continued use of the App after changes take effect constitutes acceptance of the revised Terms
We encourage you to review these Terms periodically.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of your country of residence, without regard to conflict of law provisions.
Any disputes arising from these Terms or your use of the App will be resolved through:
- Good faith negotiation between you and us
- If negotiation fails, through binding arbitration or small claims court in your jurisdiction
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jeans Ruiz regarding the App and supersede any prior agreements.
